Jesse Rosenblatt

Jesse Rosenblatt is the founder of the Law Office of Jesse Rosenblatt.  He has over 10 years experience working and negotiating with many of the top companies in the entertainment and digital media industries and a deep commitment to providing the highest level of service to every client he works with.

His practice focuses on entertainment, digital, communications and media transactional issues but he also handles corporate, LLC and other business matters, employment, independent contractor and related personal services agreements, intellectual property agreements, and various general legal matters and transactions.

Prior Business & Legal Experience

The Weinstein Company 

Immediately prior to forming the Law Office of Jesse Rosenblatt, Mr. Rosenblatt served as Vice President of International Business & Legal Affairs for The Weinstein Company, where he advised and counseled the President of International on a day-to-day basis as to the issues and concerns across International acquisitions, sales, distribution, marketing / promotions and delivery / servicing departments.
 
With The Weinstein Company, Mr. Rosenblatt was head of the team in charge of negotiating, structuring and drafting agreements, guarantees, notices of assignment and ancillary documents relating to worldwide licensing of distribution rights for the company-wide slate of award winning motion pictures and television productions, in the following media, across all formats: theatrical, home video, pay-per-view, video on demand, digital distribution, internet, wireless / mobile, pay television and free television.
 
As part of his duties, Mr. Rosenblatt was responsible for structuring, analyzing, preparing and revising business proposals for acquisitions, strategic partnerships, co-financings, film library acquisitions, production financing matters, non-disclosure agreements and related transactions.

Additionally, he prepared and negotiated international output agreements covering theatrical, home video, pay television, free television, airline and other rights in company motion pictures (in the UK, France, Italy, Germany, Pan Asian Pay Television, Hong Kong and Australia) and attended worldwide film markets and festivals for the company, including Cannes and the American Film Market.

In his capacity as Vice President, Mr. Rosenblatt served as international sales agent, procuring and negotiating distribution agreements, coordinating marketing efforts and servicing delivery for production entities of various motion pictures.
 
Sheppard Mullin Richter & Hampton

Before joining The Weinstein Company, Mr. Rosenblatt served as Senior Associate of the Entertainment, Media and Communications group with the law firm of Sheppard Mullin Richter & Hampton in their Los Angeles and New York offices.  His practice focused on transactional entertainment, digital, media, intellectual property, advertising and promotions matters, including the representation of major motion picture studios, prominent digital/online companies, production companies, television networks, independent producers, advertising / marketing organizations and other institutional entertainment and media entities.
  
As rights and / or production counsel for several independent and studio motion pictures, he structured, drafted and negotiated agreements and ancillary documents relating to intellectual property rights and clearance issues (including in connection with development, production, distribution and chain of title review), rights acquisitions and dispositions (including options and quitclaims), talent agreements (including actors, directors, producers, writers and other above- and below-the-line talent), union / guild matters, and revenue participations.

Mr. Rosenblatt was also responsible for preparing and negotiating numerous master and synchronization music licenses in connection with the production of film and television content.

While Senior Associate, he advised clients in connection with asset and stock sales and purchases, television and film library acquisitions and dispositions, production financing matters, master services agreements, employment agreements, equity investments in media companies, domain name acquisitions and internet content development, production and distribution.

As part of his practice, Mr. Rosenblatt counseled sports and entertainment clients with respect to internet, radio, television and other advertising, promotional and marketing activities, including contests, sweepstakes, event and content sponsorships and promotional appearances.  He prepared and negotiated documents such as official rules for contests and sweepstakes, prize supplier agreements, co-promotion agreements, sponsorship agreements, talent appearance agreements and publicity releases.

Cahill Gordon & Reindel / Schulte Roth & Zabel

Prior to joining Sheppard Mullin Richter & Hampton, Mr. Rosenblatt was a Corporate Associate with two Top 100 law firms in New York - Cahill Gordon & Reindel then Schulte Roth & Zabel - where his practice focused on mergers and acquisitions, joint ventures, public and private securities financings, corporate governance and relationships among shareholders, securities matters and other general corporate representation.  With such firms, he represented public and private companies, including several Fortune 500 companies.

As Corporate Associate, Mr. Rosenblatt advised and counseled investment funds and public and private clients in connection with asset and stock sales, purchases and reorganizations, debt and equity securities offerings, employment issues and acquisitions of proprietary rights.  He negotiated, structured and drafted related agreements including stock and asset purchase agreements, merger agreements, confidentiality agreements, employment and termination agreements, leases and licensing agreements.

Mr. Rosenblatt represented domestic and foreign issuers and investment banks in connection with public and private debt and equity financing transactions, tender offers, term and revolving credit facilities, commitment papers, investor rights agreements and legal opinions.  While Corporate Associate, he coordinated the listing of securities with the New York Stock Exchange and ensured the compliance of securities with the National Association of Securities Dealers.

He also structured and formed corporations and limited liability companies, prepared formation documents and bylaws and prepared and filed various SEC filings.


Education & Affiliations

Mr. Rosenblatt earned his Juris Doctorate from Fordham Law School in 2000 and his Bachelor of Science in Marketing from the School of Management of Binghamton University in 1997.

He is admitted to practice law in the States of New York and California and is a member of the Motion Picture Committee of the Entertainment, Arts and Sports Law Section of the New York State Bar Association.

Mr. Rosenblatt has spoken on panels and as a guest lecturer at various law schools, entertainment and media industry festivals/conferences and film schools.
